Contracting party

This subscription enables the subscribing organisation and its permitted users to load assessment data and to carry out certain online evaluations on the website [url www.mazeroi.com ] owned and managed by Maze Training Limited [“Maze”]

Communication of the Terms & Conditions

The Subscriber will make reasonable efforts to distribute these terms and conditions to Authorised Users to make them aware of these terms and conditions. The Subscriber will take steps to protect the Subscribed Materials from unauthorised use or other breach of this Subscription.

Changes to Terms & Conditions

These terms and conditions were published on 4 January 2010 and replace with immediate effect the terms and conditions previously published.

As we do occasionally update these terms and conditions and we may do so at any time please refer back to them in the future to be aware of any changes.

Definitions

Authorised User(s)

Full-time and part-time employees, and independent contractors that are permitted to access the Subscriber’s data or information services network.

Permitted Use

Use for the purposes of economic or commercial advantage whether by or for the Licensee or an Authorised User, by means of the sale, resale, loan, transfer, hire or other form of exploitation of the Licensed Materials.

Intellectual Property

Patents, patentable rights, copyright, registered and unregistered design rights, trade marks (whether or not registered), trade names, rights in inventions, rights in data, database rights, rights in know-how and confidential information and all other intellectual and industrial property and similar or analogous rights existing under the laws of any country and all pending applications for and right to apply for or register the same (present, future and contingent, and including all renewals, extensions, revivals and all accrued rights of action).

Order Confirmation

The order confirmation sent by Maze or its authorised representative to the Subscriber which sets out:

  • (a) the Subscribed Materials to which the Subscriber is to be given access;
  • (b) the Subscription Period;
  • (c) the Subscription Fee.

Secure Network

A network only accessible to Authorised Users whose identity is authenticated at the point of access, either by IP range, by username and password, or by another agreed authentication mechanism.

Single Site

A single contiguous geographic region from within which the Subscriber's Authorised Users can access the Subscribed Materials over a secure network. A typical single site would have a single billing address for all subscription purchases but may include more than one physical location as well as remote access via the Subscriber’s Secure Network.

Subscription

Paid access to one or more of the Subscribed Materials as specified in the Order Confirmation by a single organisation.

Subscription Fee

The fee notified to the Subscriber by Maze or its representatives in respect of the Subscribed Materials ordered by the Subscriber.

Subscribed Materials

The assessment material and analysis data accessed via the organisation’s own branded area of the website.

Subscription Period

The subscription period as specified in the Order Confirmation, which tends to be 12 calendar months from the date of receipt of payment.

The Subscription

Maze grants to the Subscriber a non-exclusive, non-transferable right to provide its Authorised Users at a Single Site with access to the materials via a Secure Network for purposes of research and evaluation of learning and development only upon payment of the Subscription Fee and always in accordance with these Licence terms and conditions.

Termination

The Subscription may be terminated by Maze following a serious breach of these terms & conditions, or by a subscriber at the end of any 12 month subscription period, subject to the provisions set out below.

The Subscription

The Subscriber may not assign, transfer or license any of its rights or obligations under this Subscription unless it obtains the prior written consent of Maze.

Maze agrees to maintain the confidentiality of any data relating to the usage of the Subscribed Materials by the Subscriber and its Authorised Users.

Neither party shall be responsible for any delay or failure in the performance of its obligations under this Licence because of circumstances beyond its reasonable control.

Subscription Period & Termination

This Subscription will commence on the date on which the Subscription Fee is paid and, subject to earlier termination, will continue for the Subscription Period.

Maze will have the right to terminate this Subscription immediately at any time by notice to the Subscriber if the Subscriber breaches or fails to perform any term of this Subscription.

Cancellation of subscription

A subscriber has the right to cancel up until the website has been used and/or the accreditation process has commenced.Unless you cancel your subscription before Maze have started providing any part of it to you (in which case we will provide you with a full refund), then you agree that once we have started providing any part of your subscription to you, you do not have any right to cancel your subscription or any part of it until the end of your then current subscription period.

Effect of Termination

On termination of this Subscription for any reason:

  • (a) all rights and obligations of the parties (other than any accrued rights of action and liabilities or obligations which expressly or by implication are to come into or continue in force on or after termination) will automatically cease and terminate;
  • (b) Maze shall no longer provide access for Authorised Users to that part of the Subscribed Materials that was accessed and paid for by the Subscriber during the Subscription Period and any previous Subscription periods
  • (c) Maze reserves the right, if needed, to retain data within the website after termination of a subscription

No part of the Subscription Fee already paid will be repayable to the Subscriber.

Right to Refuse Subscriptions

Maze reserves the right to decline a subscription from any organisation.

Use of mazeROI

The website is intended for, but not restricted to, accredited use by training and development professionals, managers, and directors; with assessments being submitted by persons selected by the subscriber organisation.

Permitted Use of the website

The Subscriber and its Authorised Users may:

  • (a) load, search, view and retrieve the Subscribed Materials;
  • (b) print off a reports based on the Subscribed Materials;
  • (c) incorporate links to the Subscribed Materials on the Subscriber’s intranet, subject to paying additional charges to Maze for its installation and ongoing technical support and maintenance;
  • (d) incorporate links to the Subscribed Materials in course/programme material.

Prohibited Use of the website

The Subscriber and its Authorised Users will not:

  • (a) exploit the Licensed Material for Commercial Use;
  • (b) modify, adapt, merge, translate, reverse-engineer, decompile or disassemble the Subscribed Material;
  • (c) remove, obscure or alter authors’ names, the copyright notices or disclaimers as they appear, if any, in the Subscribed Materials;
  • (d) create derivative works from the Subscribed Materials or combine them with other material;
  • (e) substantially or systematically reproduce, retain or redistribute the Subscribed Materials in print or on any electronic network other than the Secure Network;
  • (f) incorporate all or part of the Licensed Materials in course/programme materials, without the prior written permission of Maze.

Maze’s services to you as a subscriber

Summary

This section should be read carefully as it makes clear to what extent, if any, mazeROI accepts responsibility (or liability) to you for your use of mazeROI.com or the mazeROI Content or in respect of any third party products or services that we refer to or link to on mazeROI.com.

Unless you are a subscriber to mazeROI.com, we accept no financial responsibility to you arising from your use of mazeROI.com or the mazeROI Content. If you are a subscriber to mazeROI.com, we limit our financial responsibility to you arising from your use of mazeROI.com or the mazeROI Content to the price you paid for your subscription. In no circumstances do we accept responsibility for your use of Third Party Sites or in respect of any Third Party Products. By Third Party Sites we mean websites, online or mobile services provided by third parties, including websites of advertisers and sponsors that may appear on mazeROI.com. By Third Party Products we mean products or services provided by third parties. It is not commercially possible for us to accept more responsibility for your use of mazeROI.com than is set out in these Terms & Conditions.

Our financial responsibility to you

  • if you incur and loss as a result of using mazeROI.com or any mazeROI content outside the scope of these terms and conditions, mazeROI accepts no responsibility or liability to you for this.
  • if you have paid for a subscription to mazeROI.com then mazeROI.com accepts responsibility and liability to you for any direct damages you actually incur arising out of your use of mazeROI.com or the mazeROI content in accordance with these terms and subject to a limit equal to the price paid by you for your subscription during the year in which you incur the damage
  • if you have not paid for a subscription to mazeROI.com, then mazeROI accepts no responsibility or liability to you for any loss or damage you may incur as a result of your use of mazeROI.com or the mazeROI content in accordance with these terms and conditions.

Security, Confidentiality, Privacy and Data Protection Act

Subscriber ID and Account passwords

The Subscriber agrees to allow the issue of passwords or other access information to authorised users only.

The Subscriber is to be solely responsible for removing any authorised users who leave the organisation or who no longer require access to the system.

The Subscriber will provide all assistance reasonably requested by Maze, or its representatives, to determine the Subscriber’s compliance (or the extent of the Subscriber’s non-compliance) with this Subscription. The Subscriber acknowledges that Maze may be remotely monitoring its use of the Website.

Email information on Website

The Subscriber is responsible for ensuring email addresses are current and valid.
When software revisions are being made, or website updates occurring, there may be times where access to the website is interrupted. Such interruptions will be kept to a reasonable minimum by Maze but prior notification may not be possible to be made in some cases.

Access control systems

Maze may use software that incorporates access control systems and maintain an audit trail of IP addresses from which a user logs in. Maze takes steps to restrict simultaneous use of login and passwords.

Retained data

The Subscriber agrees to the anonymous inclusion of data stored on mazeROI to enable research into market trends such research will be made available, where appropriate, to the Subscriber to assist in their own benchmarking.
Maze reserves the right to analyse data in a way to inform general trends and issues across the whole group or groups of subscriber organisation in a way that it is impossible to identify individual organisations or results. Maze undertakes to respect the privacy and confidentiality of all subscriber information within its research.

In no circumstances will Maze copy, disclose, distribute, incorporate and otherwise use an individual organisational material for any purpose unless instructed by the Subscriber or as a result of a legal obligation.

Notification & remediation of breaches

The Subscriber will inform Maze immediately upon becoming aware of any unauthorized use of the Subscribed Materials and take appropriate steps to ensure that such activity ceases and to prevent any recurrence.

Website User Conduct

The use of all material on the website is covered under Maze’s Privacy Policy, so any material you send, load or post to this website shall be considered proprietary and confidential. When using this website you shall not post or send to or from this Website any material:

  • for which you have not obtained all necessary consents;
  • that is discriminatory, obscene, pornographic, defamatory, liable to incite racial hatred, in breach of confidentiality or privacy, which may cause annoyance or inconvenience to others, which encourages or constitutes conduct that would be deemed a criminal offence, give rise to a civil liability, or otherwise is contrary to the law in the United Kingdom;

Maze will fully co-operate with any law enforcement authorities or court order requiring Maze to disclose the identity or other details of any person posting material to this website in breach of the above.

As a registered data controller under the terms of the Data Protection Act [ registration number Z2032359] we our permitted to process and hold personal data for staff administration, accounts & records, education and consultancy and advisory services.

Intellectual Property

The copyright and other intellectual property rights in the content and arrangement of all material on mazeROI.com are owned by us and our licensors and must not be reproduced without Maze’s prior written consent.

By a subscriber submitting its logo and other brand imagery for loading onto the website it is deemed to give consent to mazeROI for such use within the website. A subscriber is responsible for ascertaining and obtaining any internal organizational clearance within their organisation prior to submission to mazeROI.

Nothing contained on this website should be construed as granting any Licence or right to use any material without prior written consent of Maze to use.

Payment & Prices

Payment by Direct Debit or BACS

The Subscriber will authorise payment to Maze [Maze Training Limited] by BACS or Direct Debit as appropriate.

Pricing

The subscription price will be made clear to you on our subscription pages or otherwise during the subscription process and may vary from time to time . You agree to pay the fees at the rates notified to you at the time you take out your subscription. You can also take out any other fixed term or payment frequency that we may offer from time to time. mazeROI will charge you in British Pounds Sterling regardless of your country of residence. You may also have to pay any applicable local taxes. Please make your won enquiries of the relevant tax office should you require  further  tax information relevant to your situation. Eligibility for any discounts is ascertained at the time you subscribe and cannot be changed during the term of your subscription. We will always tell you in advance of any increase in the price of your subscription and offer you an opportunity to cancel it if you do not wish to pay the new price.

Pricing errors

If we incorrectly state a price to you whether online or otherwise, we are not obliged to provide you with a subscription at that price, even if we have mistakenly accepted your offer to buy a subscription at that price, and reserve the right to subsequently notify you of any pricing error. If we do this, you may cancel the subscription without any obligation to us and we will refund you any money you have paid us in full or you may pay the correct price. If you refuse to exercise either of these choices then we may cancel your subscription and will refund you any money you have paid us in full. We will always act in good faith in determining whether a genuine pricing error has occurred.

Other costs

In addition to any subscription fees you pay, you are responsible for paying any internet connection or other telecommunications charges that you may incur by accessing mazeROI.com or using the services available on it.

Free trials

Maze may from time to time and at our discretion make a free trial available to certain users, in which case we will only charge you for your subscription with effect from the expiry of the free trial period. No more than one free trial per subscriber is allowed in any twelve month period.

Cancellations by you and refunds

Unless you cancel your subscription before Maze have started providing any part of it to you (in which case we will provide you with a full refund), then you agree that once we have started providing any part of your subscription to you, you do not have any right to cancel your subscription or any part of it until the end of your then current subscription period. This means that you are not entitled to a refund once we have started providing any part of your subscription to you, except in the very limited circumstances which are referred to in these terms and conditions. Although you may notify us of your intention to cancel at any time, such notice will only take effect at the end of your then current subscription period. Technical

Site access, delivery, delays and downtime

Maze shall:

  • (a) upon payment of the Subscription Fee make the Subscribed Materials available to the Subscriber and its Authorised Users from the Website;
  • (b) use reasonable endeavors to make the Subscribed Licensed Materials available at all times, save for reasonable periods of downtime or routine maintenance, and to restore access as soon as possible in the event of an interruption or suspension of the service.
  • (c) the website may be temporarily unavailable due to issues such as system failure, power failure, maintenance or repairs or for reasons beyond our control. Where possible we will try to give our subscribers advance warning of maintenance issue but shall not be obliged to do so.

Updates

Maze may periodically update the Website and reserves the right to withdraw from the Subscribed Materials content that it no longer retains the right to provide or which it has reasonable grounds to believe infringes copyright or is defamatory, obscene, false, unlawful or otherwise objectionable.

Subject to the above, the maximum liability of Maze under or in connection with this Subscription in relation to any single event or series of connected events will not exceed the sum paid to or payable to Maze by the Subscriber during the Subscription Period.
Subject to the above, Maze will not be liable to the Subscriber or its authorised users for any of the following: loss of profit, earnings, business or goodwill; damage to reputation; or any indirect, punitive, special or consequential losses, damages, costs, expenses or other claims which arise directly or indirectly from the subject matter of this Subscription.
